Datavault AI to Acquire CyberCatch to Enhance Security Platform

Datavault AI Inc., a leader in data monetization, credentialing, digital engagement, and real-world asset (RWA) tokenization, announced a definitive agreement to acquire 100% of CyberCatch Holdings, Inc. The acquisition, structured as an all-cash transaction valued at $94.5 million ($3.53 per share) via a court-approved plan of arrangement in British Columbia, replaces an earlier stock-based transaction structure.

The strategic acquisition integrates CyberCatch’s patented, AI-driven continuous compliance and risk mitigation software directly into Datavault AI’s Quantum Private Network (QPN) GPU ecosystem and Data Vault® Artificial Intelligence Platform (AIP). The combined architecture will deliver automated cybersecurity checks, threat resolution, and quantum-resistant security controls across distributed cloud and edge computing environments.

Enhancing Data Trust and Continuous Compliance

CyberCatch’s continuous compliance engine utilizes generative and agentic AI to monitor cybersecurity controls, conduct automated penetration testing, and evaluate risk posture across key regulatory standards, including NIST CSF 2.0, NIST 800-171, CMMC 2.0, ISO 27001, HIPAA, and PCI DSS.

Following the transaction’s close, CyberCatch will operate as a wholly-owned subsidiary of Datavault AI based in San Diego, California. Founder, Chairman, and CEO Sai Huda will continue leading the unit as President of the subsidiary. Datavault AI plans to deploy CyberCatch’s security technology across its primary platform components, including DataValue®, DataScore®, Information Data Exchange® (IDE®), and its Acoustic Sciences portfolio.

Transaction Structure and Regulatory Approvals

The transaction shifts CyberCatch’s acquisition model to a fixed all-cash payout, eliminating previous share-issuance dilution concerns for existing Datavault AI equity holders.

The completion of the plan of arrangement remains subject to customary closing conditions, including:

Approval by CyberCatch shareholders.

Supreme Court of British Columbia approval.

Regulatory clearances and approvals from The Nasdaq Stock Market and the TSX Venture Exchange.
